Terms of Service

1. Agreement to Terms
These Terms of Service constitute a legally binding agreement between you (either as an individual user or on behalf of your organization) and The Algorithm, the operator of Regure.
By accessing or using the Regure platform, you agree to be bound by these Terms of Service. If you do not agree to these terms, you must not access or use the platform.
If you are using Regure on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these terms, and references to "you" in these terms refer to both you as an individual and the organization you represent.
2. Definitions
- Platform: The Regure software application, including all features, tools, documentation, APIs, and related services provided by The Algorithm.
- User: An individual who has been granted access to the Platform by a Customer.
- Customer: The organization that has entered into a subscription agreement for the Platform.
- Administrator: A User designated by the Customer with elevated privileges to manage accounts, configure workflows, and control access permissions.
- Content: All documents, data, files, communications, and other materials uploaded to or created within the Platform by Users.
- Account: The Customer's subscription to the Platform, including all User accounts, configurations, and data associated with the subscription.
3. Account Terms
To use Regure, you must meet the following account requirements:
- Age Requirement: You must be at least 18 years old to create an account or use the Platform.
- Accurate Information: You must provide accurate, current, and complete information when creating your account and keep this information updated.
- Account Security: You are responsible for maintaining the security of your account credentials. You must use a strong password and enable multi-factor authentication when available. You are fully responsible for all activities that occur under your account.
- One Person Per Account: Each User account must be associated with a single individual. Accounts may not be shared among multiple people.
- Administrator Designation: Each Customer organization must designate at least one Administrator who will be responsible for managing user access, configuring the Platform, and serving as the primary point of contact.
- Notification of Unauthorized Use: You must immediately notify us at info@the-algo.com if you become aware of any unauthorized use of your account or any other security breach.
4. Acceptable Use
You agree to use the Platform only for lawful business purposes and in accordance with these terms. You agree not to:
- Upload Malicious Content: Upload, transmit, or store any viruses, malware, ransomware, or other malicious code through the Platform.
- Breach Security: Attempt to gain unauthorized access to the Platform, other users' accounts, or our infrastructure. This includes probing, scanning, or testing system vulnerabilities.
- Reverse Engineer: Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Platform.
- Automated Scraping: Use automated tools, bots, or scrapers to extract data from the Platform without our express written permission.
- Share Credentials: Share your account credentials with others or allow multiple individuals to use a single account.
- Violate Laws: Use the Platform to violate any applicable local, state, national, or international law or regulation.
- Infringe Rights: Upload Content that infringes the intellectual property rights, privacy rights, or other rights of third parties.
- Disrupt Service: Take any action that imposes an unreasonable load on our infrastructure or interferes with the proper functioning of the Platform.
- Resell Service: Resell, sublicense, or otherwise commercialize access to the Platform without our express written permission.
We reserve the right to investigate and take appropriate action against anyone who violates this Acceptable Use Policy, including suspension or termination of accounts and reporting to law enforcement authorities.
5. Service Description
Regure provides a compliance-ready operations platform for insurance professionals, including the following core capabilities:
- Document Processing: AI-powered document classification, data extraction, and automated routing for insurance documents including claims files, policy forms, medical records, and correspondence.
- Workflow Automation: Configurable workflow engine with drag-and-drop builders, automated task assignment, SLA tracking, and escalation rules.
- Secure Collaboration: Encrypted messaging, video conferencing, and document sharing tied to claims and policy records.
- Audit Trails: Immutable, cryptographically verified audit logs tracking all actions on documents and data.
- Electronic Signatures: Legally binding e-signature capabilities for documents and approvals.
- Integration APIs: RESTful APIs and webhooks for integration with policy administration systems, claims management systems, and other enterprise software.

We reserve the right to modify, suspend, or discontinue any feature or functionality of the Platform with reasonable notice to Customers.
6. Data and Content Ownership
Customer Ownership: The Customer retains all ownership rights, title, and interest in and to all Content uploaded to the Platform. We do not claim any ownership of Customer Content.
Limited License to Regure: By uploading Content to the Platform, Customer grants Regure a limited, non-exclusive, worldwide license to process, store, transmit, display, and perform the Content solely to the extent necessary to provide the Platform services. This license terminates when the Content is deleted from the Platform or when the Customer's subscription is terminated.
Data Processing: We process Customer Content only in accordance with Customer's instructions as set forth in these Terms, our Privacy Policy, and any applicable data processing agreement. We do not use Customer Content for any purpose other than providing the Platform services.
Responsibility for Content: Customer is solely responsible for the accuracy, quality, legality, and appropriateness of all Content uploaded to the Platform. Customer represents and warrants that it has all necessary rights and permissions to upload Content and grant the licenses described in these Terms.
7. Electronic Signatures
Electronic signatures executed through the Regure platform are intended to be legally binding under applicable electronic signature laws, including:
- The Electronic Signatures in Global and National Commerce Act (ESIGN Act) in the United States
- The eIDAS Regulation (Regulation EU No 910/2014) in the European Union
- The Electronic Communications Act 2000 in the United Kingdom
- Similar e-signature laws in other jurisdictions where Regure operates
By using the e-signature feature, you acknowledge and agree that electronic signatures, records, and contracts have the same legal validity and enforceability as traditional paper-based signatures and records.
User Responsibility: Users are responsible for verifying that electronic signatures executed through Regure meet the specific legal requirements of their jurisdiction and use case. We provide the technology platform but do not provide legal advice regarding the validity or enforceability of electronic signatures in particular circumstances.
We maintain audit trails of all e-signature events, including signer identity verification, timestamp, IP address, and document hash, to support the legal validity of electronically signed documents.
8. Availability and SLA
Uptime Target: We target 99.9% uptime for the Platform, measured on a monthly basis. This excludes scheduled maintenance windows and circumstances beyond our reasonable control.
Scheduled Maintenance: We will provide at least 48 hours advance notice for scheduled maintenance that is expected to cause downtime. Scheduled maintenance windows are typically conducted during off-peak hours.
Service Credits: For Enterprise tier customers, service credits may be available for downtime that exceeds SLA thresholds, as defined in individual customer agreements. Service credits are calculated as a percentage of monthly subscription fees and are the sole remedy for SLA violations.
No Guarantee: While we strive to meet our uptime target, we do not guarantee uninterrupted access to the Platform. We are not liable for downtime resulting from circumstances beyond our reasonable control, including but not limited to internet service provider failures, distributed denial of service attacks, or force majeure events.
9. Payment Terms
Subscription Fees: Regure is offered as a subscription service billed monthly or annually as agreed in your subscription plan. Prices are as listed on our pricing page unless otherwise agreed in a written customer agreement.
Payment Due: Payment is due within 30 days of invoice date unless alternative payment terms are specified in a customer agreement.
Late Payments: Late payments may be subject to interest charges of 1.5% per month (or the maximum permitted by law, whichever is lower). We reserve the right to suspend service for accounts with payments more than 30 days overdue, following written notice to the Administrator.
Price Changes: We may change subscription prices with at least 60 days advance written notice to Customers. Price changes apply to renewals and do not affect the current subscription period.
Taxes: All fees are exclusive of applicable taxes, duties, and levies. Customer is responsible for all taxes associated with the subscription, except for taxes based on our net income.
Refunds: Subscription fees are non-refundable except as required by law or as specified in a customer agreement.
10. Intellectual Property
Regure Ownership: The Regure platform, including all software, code, design, user interfaces, documentation, logos, trademarks, and other materials (excluding Customer Content), are owned by The Algorithm and are protected by intellectual property laws.
License to Use: Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your internal business purposes during the subscription term.
Restrictions: You may not copy, modify, distribute, sell, lease, or create derivative works based on the Platform or any portion thereof.
Feedback: If you provide feedback, suggestions, or ideas about the Platform, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use and incorporate such feedback into the Platform without obligation or compensation to you.
Trademark Usage: You may not use our trademarks, logos, or brand elements without our prior written permission.
11. Limitation of Liability
As-Is Provision: The Platform is provided on an "as is" and "as available" basis for business use. We make no warranties, express or implied, regarding the Platform's operation, accuracy, reliability, or fitness for a particular purpose.
Liability Cap: To the maximum extent permitted by law, our total liability arising out of or related to these Terms or your use of the Platform shall not exceed the fees paid by you in the 12 months immediately preceding the event giving rise to the claim.
Excluded Damages: We shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, including but not limited to lost profits, lost revenue, lost data, business interruption, or cost of substitute services, even if we have been advised of the possibility of such damages.
No Liability for Decisions: We are not liable for any actions, decisions, or claims outcomes based on Platform outputs, AI-generated classifications, or data extracted from documents. Users and Customers are solely responsible for reviewing, verifying, and approving all decisions made using the Platform.
Third-Party Services: We are not responsible for any third-party services, integrations, or APIs that you choose to connect to the Platform.
Exceptions: Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law.
12. Indemnification
Customer agrees to indemnify, defend, and hold harmless The Algorithm, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Customer Content uploaded to the Platform
- Customer's use of the Platform in violation of these Terms
- Customer's violation of any law, regulation, or third-party rights
- Any claim that Customer Content infringes or misappropriates the intellectual property rights or other rights of any third party
- Access to or use of the Platform by any person using Customer's account credentials, whether authorized or unauthorized
We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with our defense of such claim.
13. Termination
Termination by Either Party: Either party may terminate the subscription with 30 days written notice to the other party.
Termination for Breach: We may immediately suspend or terminate your access to the Platform if you breach these Terms, fail to pay fees when due, or engage in conduct that we reasonably believe violates applicable law or harms our systems or other users.
Data Export Period: Upon termination or expiration of the subscription, Customer has 30 days to export all Content from the Platform. We will provide reasonable assistance with data export during this period.
Data Deletion: After the 30-day export period, we will delete all Customer Content in accordance with our Privacy Policy. Deleted data cannot be recovered.
Survival: Sections of these Terms that by their nature should survive termination (including ownership provisions, warranty disclaimers, indemnification, and limitations of liability) will survive termination.
No Refunds: Termination does not entitle Customer to a refund of fees already paid, except as required by law or specified in a customer agreement.
14. Governing Law
Governing Jurisdiction: These Terms of Service are governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles.
Dispute Resolution: Any dispute arising out of or relating to these Terms or the Platform shall be subject to the exclusive jurisdiction of the courts of England and Wales.
Alternative for US Customers: For Customers based in the United States, disputes may alternatively be resolved under the laws of the State of Colorado, and parties may consent to jurisdiction in the state and federal courts located in Colorado.
No Class Actions: To the extent permitted by law, all disputes must be brought on an individual basis and not as a class action, collective action, or representative action.
15. Changes to Terms
We may modify these Terms of Service from time to time to reflect changes in our practices, legal requirements, or business operations.
Notice of Material Changes: For material changes, we will provide at least 30 days advance written notice via email to the Administrator email address associated with your account.
Effective Date: Changes take effect on the date specified in the notice. Your continued use of the Platform after the effective date constitutes acceptance of the modified Terms.
Right to Terminate: If you do not agree to modified Terms, you may terminate your subscription in accordance with the Termination section above.
